AGREEMENT TO OUR LEGAL TERMS

We are Backendo Group LLP ("Company", "we", "us", "our"), a limited

liability partnership registered in the UK under Companies House

number OC460286, with registered address at 71-75 Shelton Street,

Covent Garden, London, United Kingdom, WC2H 9JQ.

We operate the website https://www.backendo.com (the "Site"), together

with any other related products and services that refer or link to

these Terms and Conditions (the "Legal Terms") (collectively, the

"Services"). You can contact us at https://www.backendo.com/contactus.

By accessing or using the Services, you agree to be bound by these

Legal Terms. If you do not agree with these Legal Terms, you must not

use the Services.

We may change or modify these Legal Terms at any time. Changes take

effect once posted, shown by an updated "Last updated" date. Your

continued use of the Services after a change is posted means you

accept the revised Legal Terms.

1. OUR SERVICES

We provide software and IT consultancy services on a business-to-

business basis. You are responsible for ensuring your use of the

Services complies with the laws and regulations applicable to you.

2. INTELLECTUAL PROPERTY RIGHTS

We are the owner or licensee of all intellectual property rights in

the Services, including source code, databases, functionality,

software, website design, text, and graphics (the "Content"), as well

as our trademarks, service marks, and logos (the "Marks").

Subject to your compliance with these Legal Terms, we grant you a

non-exclusive, non-transferable, revocable license to access the

Services and to download or print any Content you have properly

accessed, solely for your internal business purpose. No other use,

reproduction, or redistribution of the Services, Content, or Marks is

permitted without our prior written permission.

If you send us any feedback, suggestions, or ideas about the Services,

you agree that we may use them freely, without any obligation or

compensation to you.

3. USER REPRESENTATIONS

By using the Services, you represent that: any information you submit

to us is true, accurate, current, and complete; you have the legal

capacity to agree to these Legal Terms; you will not access the

Services through automated or non-human means; and you will not use

the Services for any illegal or unauthorized purpose.

4. PURCHASES AND PAYMENT

If you purchase our software or services through our checkout, the

transaction is processed by Paddle.com Market Limited ("Paddle"),

acting as the Merchant of Record and reseller. Paddle collects and

processes your payment and billing information as an independent data

controller, not on our behalf — see Paddle's own terms and privacy

policy at https://www.paddle.com/legal.

You agree to provide accurate purchase and account information, and to

pay all charges at the prices in effect at the time of purchase, in

the currency shown at checkout. If your order involves recurring

charges, you authorize Paddle to charge your payment method on a

recurring basis until you cancel.

5. CANCELLATION AND REFUNDS

You may cancel a subscription at any time; cancellation takes effect

at the end of the current paid term. Because Paddle is the Merchant of

Record for purchases (see Section 4), refund requests are handled

under Paddle's own buyer terms, available at

for details. Outside of what that policy provides, purchases are

non-refundable, including for partial or unused periods. If you have

6. PROHIBITED ACTIVITIES

You agree not to: systematically scrape or harvest data from the

Services; attempt to circumvent or disable any security feature of the

Services; upload viruses or other malicious code; attempt to gain

unauthorized access to the Services or interfere with their normal

operation; or use the Services for any unlawful purpose.

7. THIRD-PARTY WEBSITES AND CONTENT

The Services may link to third-party websites or content that we do

not control and are not responsible for. Accessing any third-party

website is at your own risk and subject to that website's own terms.

8. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy

is incorporated into these Legal Terms by reference.

9. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services. We may

deny access to, or terminate, your use of the Services at any time, for

any reason, including breach of these Legal Terms.

10. MODIFICATIONS AND INTERRUPTIONS

We may change, suspend, or discontinue any part of the Services at any

time without notice, and we are not liable for any resulting loss or

inconvenience.

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Legal Terms are governed by the laws of England and Wales. If

you are a consumer habitually resident in the EU, you retain the

protection of any mandatory consumer-protection provisions of the law

of your country of residence.

informally. Subject to any mandatory consumer rights you may have,

disputes that cannot be resolved informally are subject to the

exclusive jurisdiction of the courts of England and Wales.

12. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO

THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES,

EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A

PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND WE DO NOT WARRANT THAT

THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY

INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES

ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY

CLAIM ARISING OUT OF THESE LEGAL TERMS WILL NOT EXCEED THE AMOUNT YOU

PAID US IN THE ONE (1) MONTH PERIOD BEFORE THE CLAIM AROSE. SOME

JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO SOME OF THE ABOVE MAY

NOT APPLY TO YOU.

14. INDEMNIFICATION

You agree to indemnify and hold us harmless from any claim or demand,

including reasonable legal fees, made by any third party arising out

of your breach of these Legal Terms or your misuse of the Services.

15. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive communications from us

electronically, and you agree that this satisfies any legal

requirement that such communications be in writing.

16. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and us

regarding the Services. If any provision is found unenforceable, the

remaining provisions remain in full effect. Our failure to enforce any

right or provision is not a waiver of that right or provision.
